Agreement
These Terms of Service (the “Terms”) are a binding agreement between you and Contessa Intelligence Tech Limited (知繹智聯科技有限公司, “CodeFlux”, “we” or “us”). They apply to the CodeFlux desktop application (the “App”), this website and your CodeFlux account (together, the “Service”).
By creating an account, downloading or using the Service you agree to these Terms and to our Privacy Policy. If you use the Service on behalf of an organization, you confirm that you have authority to bind it.
The Service
CodeFlux is a local-first AI coding agent that runs on your own computer. It does not include access to any AI model. To use the agent you connect a model yourself: either a model that runs on your own hardware, or an API key from a model provider you choose.
We do not sell or resell model tokens, and we are not a party to your relationship with any model provider.
Your account
- You must provide a valid email address and keep your account information accurate.
- Keep your password confidential. You are responsible for all activity under your account.
- An individual plan is for one person. Team and Enterprise plans are licensed per seat under the agreed order.
- Tell us promptly at [email protected] if you suspect unauthorized access.
- Paid plans may limit the number of devices signed in at the same time.
Plans, prices and payment
- The Free plan costs nothing. Paid plans, features and prices are described on the Pricing page. Prices are shown in US dollars (USD); any applicable taxes are shown at checkout.
- Paid plans are prepaid for one month or one year. They do not renew automatically; we send a reminder email before your plan expires.
- Payments are processed by licensed third-party payment partners. We do not receive or store your full card details.
- When a paid period ends, your account returns to the Free plan. Your local projects and data are not deleted.
- We may change prices for future purchases. A change never affects a period you have already paid for.
- Features marked “Soon” are in development; we do not promise a release date.
Refunds
Refunds are governed by our Refund Policy, which is part of these Terms.
Your code and content
You keep all rights in your source code, prompts, files and the outputs you generate (“Your Content”). The App processes Your Content on your device, and we do not claim ownership of it.
When you choose to send context to a third-party model provider, that transfer is governed by the provider’s terms and privacy policy, and you are responsible for what you send. AI output can be inaccurate, insecure or infringe third-party rights. Review it before you rely on it.
Acceptable use
You agree not to:
- break any applicable law, or use the Service to create malware or to attack systems you are not authorized to test;
- infringe the intellectual property, privacy or other rights of others;
- reverse engineer the App, except to the extent the law or an open-source licence allows it;
- share your account, circumvent device or seat limits, or resell or sublicense the App;
- overload, probe or interfere with our servers, or create accounts by automated means.
Intellectual property and licence
The App, this website and the related software, designs and trademarks (including CodeFlux and ROUTOK) belong to us or our licensors. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to install and use the App for your own purposes while your account is in good standing.
The App contains open-source components that are covered by their own licences. Nothing in these Terms limits your rights under those licences.
Third-party services
The Service works with services we do not control, such as model providers, sign-in providers (GitHub, Google), email delivery and payment partners. Their own terms and privacy policies apply when you use them, and we are not responsible for their services.
Availability, changes and termination
- We work to keep the Service available but do not guarantee uninterrupted or error-free operation.
- We may change or discontinue features, giving reasonable notice where practicable.
- You may stop using the Service at any time and ask us to delete your account at [email protected].
- We may suspend or end your access if you materially breach these Terms, if required by law, or to prevent fraud or abuse.
Disclaimers
The Service is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose and non-infringement, to the extent permitted by law.
When you allow it, the App can run commands and modify files on your computer. Keep backups and review changes before you accept them.
Limitation of liability
To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, data or goodwill. Our total liability for any claim relating to the Service is limited to the amount you paid us for the Service in the 12 months before the claim arose. Nothing in these Terms excludes liability that cannot be excluded by law.
Governing law and disputes
These Terms are governed by the laws of the jurisdiction in which Contessa Intelligence Tech Limited is incorporated, without regard to conflict-of-law rules. Mandatory consumer-protection laws of the place where you live still apply. Please contact us first at [email protected] so we can try to resolve any dispute informally.
Changes to these Terms
We may update these Terms. For material changes we will notify you by email or in the App at least 14 days before they take effect, unless the law requires sooner. If you keep using the Service after the effective date, you accept the updated Terms.
